Welcome to Translate Updates (the "App"), a monday.com marketplace application provided by Workflow Polyglots ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the App. By installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.
1. Description of Service
Translate Updates is designed to automatically translate the textual content of new updates and replies posted on your monday.com boards. When an update or reply is created on a board where the App is activated via monday.com automations, the App accesses the textual content, processes it for translation using our self-hosted translation services, and then posts the translated content back to the monday.com board as a new update or reply. As detailed in our Privacy Policy, the App processes your update and reply content transiently and does not store this content persistently.
2. Eligibility and monday.com Terms
- You must be a registered monday.com user in good standing to use the App.
- Your use of the App is also subject to monday.com's own terms of service, privacy policy, and any other applicable agreements you have with monday.com. In the event of a conflict between these Terms and monday.com's terms, monday.com's terms shall prevail regarding your use of the monday.com platform, while these Terms will govern your specific use of the Translate Updates App.
3. User Responsibilities and Conduct
You agree to:
- Lawful Use: Use the App in compliance with all applicable local, state, national, and international laws, rules, and regulations.
- Content Responsibility: You are solely responsible for the content of updates and replies posted by users on your monday.com boards which are subsequently processed by the App ("User Content"). You represent and warrant that you and your users have all necessary rights, licenses, and permissions for such User Content to be processed for translation and that the User Content does not infringe upon the rights of any third party (including intellectual property rights, privacy rights, or publicity rights) or violate any applicable laws.
- Accuracy of Information: While we strive to provide accurate translations, you acknowledge that machine translation is not always perfect and may contain errors or inaccuracies. You and your users are responsible for verifying the accuracy and appropriateness of any translated content before relying on it.
- No Misuse: Not to misuse the App. This includes, but is not limited to:
- Attempting to gain unauthorized access to our systems or networks.
- Interfering with or disrupting the integrity or performance of the App.
- Configuring the App to process content that is unlawful, harmful, defamatory, obscene, infringing, harassing, or racially or ethnically offensive.
- Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying ideas or algorithms of the App, except to the extent permitted by applicable law.
- Automation Configuration: You are responsible for correctly configuring the monday.com automations that trigger the App's translation services on your desired boards.
4. Intellectual Property Rights
Our Intellectual Property: We and our licensors own all right, title, and interest in and to the App, including all related intellectual property rights (such as copyrights, trademarks, trade secrets, and patents). These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features.
Your User Content: You and your users retain all ownership rights to your User Content. By enabling the App on boards containing User Content, you grant us a limited, temporary, non-exclusive, royalty-free, worldwide license to access, use, process, and transmit your User Content solely for the purpose of providing the translation services to you through the App and posting the translated content back to your monday.com board. This license is for the transient processing of the User Content as described in our Privacy Policy.
5. Data Privacy
Our collection and use of personal information in connection with the App are described in our Privacy Policy for Translate Updates, which is incorporated by reference into these Terms. By using the App, you consent to the data practices described therein.
6. Disclaimers
"AS IS" SERVICE: THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, COMPLETENESS, OR NON-INFRINGEMENT.
TRANSLATION ACCURACY: WE MAKE NO WARRANTY THAT TRANSLATIONS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE. YOU ACKNOWLEDGE THAT MACHINE TRANSLATION HAS INHERENT LIMITATIONS AND SHOULD NOT BE RELIED UPON FOR CRITICAL APPLICATIONS WITHOUT HUMAN REVIEW.
NO GUARANTEE OF SERVICE: WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORKFLOW POLYGLOTS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE APP.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, TO USE THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TEN US DOLLARS ($10.00 USD), WHICHEVER IS GREATER.
THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
8. Indemnification
You agree to defend, indemnify, and hold harmless Workflow Polyglots, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the App; (ii) your violation of any term of these Terms; (iii) your violation, or the violation by any user of your monday.com boards where the App is active, of any third-party right, including without limitation any copyright, property, or privacy right through User Content processed by the App; or (iv) any claim that User Content processed by the App caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the App.
9. Termination
By You: You may stop using the App at any time. You can also uninstall the App from your monday.com workspace and remove any associated automations.
By Us: We may, in our sole discretion, suspend or terminate your access to or use of the App at any time and for any reason, including, without limitation, if you violate these Terms or if monday.com revokes our access to their platform or makes changes that prevent the App from functioning.
Effect of Termination: Upon termination, your right to use the App will immediately cease. Sections 4 (Intellectual Property Rights), 5 (Data Privacy, by reference to the Privacy Policy's survival), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), 10 (Governing Law and Dispute Resolution), and 12 (General Provisions) shall survive any termination.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, USA, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in St. Louis, Missouri before one arbitrator. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
11. Changes to These Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect, such as by posting a notice within the App's marketplace listing or through other reasonable means. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the App after those revisions become effective, you agree to be bound by the revised terms.
12. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy for Translate Updates and any other legal notices published by us concerning the App, constitute the entire agreement between you and Workflow Polyglots concerning the App.
Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction.
