Welcome to TransForm (the "App"), a monday.com marketplace application provided by Workflow Polyglots ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the App. By installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of Service

TransForm enables users to create dynamic, public, and shareable web forms directly from their monday.com boards. The App allows you to select specific columns from a monday.com board, which are then used to generate a web form. This form can be shared via a unique URL. When end-users submit data through this form, TransForm processes the submission and automatically creates a new item in the designated monday.com board, populating the corresponding columns. The App also features multilingual capabilities, allowing form respondents to view and submit the form in various languages, with submitted data potentially being re-translated to the original language of the monday.com board. Data handling is further detailed in our Privacy Policy for TransForm.

2. Eligibility and monday.com Terms

  • You must be a registered monday.com user in good standing to use the App.
  • Your use of the App is also subject to monday.com's own terms of service, privacy policy, and any other applicable agreements you have with monday.com. In the event of a conflict between these Terms and monday.com's terms, monday.com's terms shall prevail regarding your use of the monday.com platform, while these Terms will govern your specific use of the TransForm App.

3. User Responsibilities and Conduct

You agree to:

  • Lawful Use: Use the App in compliance with all applicable local, state, national, and international laws, rules, and regulations, including data privacy and protection laws concerning the data you collect via forms.
  • Form Content and Data Collection: You are solely responsible for the monday.com board columns you select to include in your forms, the configuration of your forms, and the data you solicit and collect from end-users ("Form Submissions"). You represent and warrant that you have all necessary rights, consents (including from data subjects), and permissions to collect, process, and store the Form Submissions in your monday.com board, and that your forms and data collection practices do not infringe upon the rights of any third party or violate any applicable laws.
  • Accuracy of Information: While TransForm facilitates form creation and data submission, you are responsible for the clarity of your form fields. You also acknowledge that machine translation (used for the multilingual interface and potential re-translation of submissions) may not always be perfect.
  • No Misuse: Not to misuse the App. This includes, but is not limited to:
    • Attempting to gain unauthorized access to our systems or networks.
    • Interfering with or disrupting the integrity or performance of the App.
    • Creating forms or collecting data that is unlawful, harmful, defamatory, obscene, infringing, harassing, phishing-related, or racially or ethnically offensive.
    • Using the App to collect sensitive personal information (e.g., credit card numbers, social security numbers, health information) unless you have implemented appropriate security measures and obtained explicit consent as required by law.
    • Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code or underlying ideas or algorithms of the App, except to the extent permitted by applicable law.
  • Form Management: You are responsible for managing access to your forms, including activating or deactivating them as needed.

4. Intellectual Property Rights

Our Intellectual Property: We and our licensors own all right, title, and interest in and to the App, including all related intellectual property rights (such as copyrights, trademarks, trade secrets, and patents). These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features.

Your Board Content & Form Submissions: You retain all ownership rights to your monday.com board content used to configure forms and to the Form Submissions collected via the App. By using the App, you grant us a limited, temporary, non-exclusive, royalty-free, worldwide license to access, use, process, and transmit your selected board column information (for form generation) and Form Submissions (for item creation and potential re-translation) solely for the purpose of providing the App's services to you. This license is for the transient processing of data as described in our Privacy Policy for TransForm.

5. Data Privacy

Our collection and use of personal information in connection with the App are described in our Privacy Policy for TransForm, which is incorporated by reference into these Terms. By using the App, you consent to the data practices described therein.

6. Disclaimers

"AS IS" SERVICE: THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, COMPLETENESS, OR NON-INFRINGEMENT.

TRANSLATION ACCURACY: WE MAKE NO WARRANTY THAT TRANSLATIONS OF THE FORM INTERFACE OR RE-TRANSLATIONS OF SUBMITTED DATA WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE. YOU ACKNOWLEDGE THAT MACHINE TRANSLATION HAS INHERENT LIMITATIONS.

DATA COLLECTION AND COMPLIANCE: WE PROVIDE THE TOOL FOR FORM CREATION AND DATA SUBMISSION; HOWEVER, YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE APP AND YOUR DATA COLLECTION PRACTICES COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS, INCLUDING OBTAINING NECESSARY CONSENTS FROM FORM RESPONDENTS.

NO GUARANTEE OF SERVICE: WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORKFLOW POLYGLOTS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE APP. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY LOSS OR DAMAGE ARISING FROM DATA COLLECTED OR PROCESSED VIA FORMS CREATED BY THE APP.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, TO USE THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR TWENTY US DOLLARS ($20.00 USD), WHICHEVER IS GREATER.

THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Workflow Polyglots, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the App; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, privacy right, or data protection law, related to your form content or Form Submissions; or (iv) any claim that your form content or Form Submissions caused damage to a third party or violated applicable law. This defense and indemnification obligation will survive these Terms and your use of the App.

9. Termination

By You: You may stop using the App at any time. You can also uninstall the App from your monday.com workspace.

By Us: We may, in our sole discretion, suspend or terminate your access to or use of the App at any time and for any reason, including, without limitation, if you violate these Terms, if monday.com revokes our access, or if your use of the App poses a risk to our services or other users.

Effect of Termination: Upon termination, your right to use the App will immediately cease. Existing forms may become inaccessible or stop functioning. Sections 4 (Intellectual Property Rights), 5 (Data Privacy, by reference), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), 10 (Governing Law and Dispute Resolution), and 12 (General Provisions) shall survive any termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, USA, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in St. Louis, Missouri before one arbitrator. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

11. Changes to These Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect, such as by posting a notice within the App's marketplace listing or through other reasonable means. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the App after those revisions become effective, you agree to be bound by the revised terms.

12. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy for TransForm and any other legal notices published by us concerning the App, constitute the entire agreement between you and Workflow Polyglots concerning the App.

Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction.
